These Terms of Use constitute a binding legal agreement between you and Centrrl, Inc. (“Centrrl,” “we,” “our,” or “us”) governing your access to and use of the Centrrl platform, mobile applications, websites, services, software, features, and related offerings (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Eligibility and Accounts
- You must be at least 16 years of age to use the Services. By accessing the Services, you represent and warrant that you meet this requirement.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.
- Centrrl may suspend, restrict, or terminate your account at any time, with or without notice, if we believe you have violated these Terms or pose a risk to the integrity of the platform.
- You may not impersonate any person or entity or misrepresent your affiliation with any organization.
2. Verification and Identity Representations
- Centrrl offers an optional domain-based verification mechanism whereby users may verify their association with a specific internet domain through email verification.
- Successful completion of the verification process results in a display label (for example, Verified Domain: example.com). You acknowledge that such labels reflect only that a user completed an email-based verification process and do not constitute endorsement, validation, or vetting by Centrrl of any user, entity, or content.
- You agree not to misuse or fraudulently obtain verification.
3. Use of the Services
- You may access a chronological feed of posts (“Signals”) from accounts you follow. You agree not to attempt to manipulate visibility, artificially amplify content, or otherwise interfere with normal chronological ordering.
- You may post Signals consisting of text, one image, one link preview, and an optional Signal Type tag (Insight, Question, Source, or Announcement). You agree not to post harmful code, automated scripts, or engage in scraping or data extraction.
- Replies may be posted subject to Centrrl’s simplified threading model. You may not attempt to circumvent the reply structure.
- You may access Centers, a page displaying trending topics curated through manual or automated ranking. Centrrl does not guarantee the accuracy or completeness of any trending topic.
- You may not access the Services in any manner that interferes with servers, infrastructure, or network operations.
4. User Content
- You retain ownership of content you post on Centrrl (“User Content”), but you grant Centrrl a non-exclusive, royalty-free, sublicensable, transferable, worldwide license to host, store, display, transmit, reproduce, and distribute such content for the purpose of operating, improving, and promoting the Services.
- Centrrl may remove or restrict access to any content that violates these Terms or applicable law.
- You represent and warrant that you have all necessary rights, licenses, and permissions to post User Content and that such content does not infringe, misappropriate, or violate the rights of any third party.
5. Prohibited Conduct
- You agree not to:
- a. engage in harassment, abusive conduct, or targeted intimidation;
- b. post content that is defamatory, unlawful, misleading, fraudulent, or invasive of privacy;
- c. post content depicting violence, exploitation, hate speech, or threats of harm;
- d. upload or distribute malware, viruses, or harmful technology;
- e. attempt to gain unauthorized access to any part of the Services;
- f. harvest or collect information about other users without consent;
- g. use automated tools, bots, or scripts except as expressly permitted by Centrrl;
- h. engage in any activity that could reasonably be expected to damage Centrrl’s reputation or interfere with normal operations.
6. Intellectual Property
- All rights, title, and interest in the Services, including but not limited to software, interfaces, design elements, trademarks, and content created by Centrrl, are owned by Centrrl or its licensors.
- You may not copy, modify, distribute, or create derivative works from the Services without Centrrl’s prior written consent.
7. Third-Party Links and Services
- The Services may include links to third-party websites or integrations. Centrrl is not responsible for the content, policies, or practices of such third parties. Access is at your own risk.
8. Disclaimers
- The Services are provided on an “as is” and “as available” basis without warranties of any kind.
- Centrrl does not guarantee uninterrupted access, data preservation, or error-free functionality.
- Centrrl does not endorse any User Content and is not responsible for the actions, statements, or opinions of users, whether or not verified through a domain.
- Centrrl does not guarantee accuracy, completeness, timeliness, or reliability of any content or discussions on the platform.
9. Limitation of Liability
- To the fullest extent permitted by law, Centrrl shall not be liable for indirect, consequential, punitive, incidental, or special damages, including loss of profits, data, goodwill, or reputation. In no event shall Centrrl’s total cumulative liability exceed one hundred US dollars ($100).
10. Indemnification
- You agree to indemnify, defend, and hold harmless Centrrl and its officers, directors, employees, agents, licensors, and affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Services or violation of these Terms.
11. Termination
- Centrrl may suspend or terminate your access to the Services at any time for conduct that Centrrl determines, in its sole discretion, violates these Terms or is otherwise harmful.
- Upon termination, all provisions that by nature should survive (including limitations of liability, disclaimers, and IP rights) shall remain in effect.
12. Governing Law and Dispute Resolution
- These Terms shall be governed by the laws of the State of New York without regard to conflict-of-law principles.
- Any dispute shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in such courts.
- Before filing any legal action, you agree to attempt to resolve disputes through good-faith negotiations with Centrrl.
13. Modifications
- Centrrl may modify these Terms at any time. Revised Terms will be posted with a new effective date. Continued use of the Services constitutes acceptance of the revised Terms.
